ASL Terms & conditions

STANDARD CONDITIONS OF SALE

1) Contract

These conditions set out the conditions pursuant to which Adhesive Sealants & Lubricants Ltd (ASL Ltd) has agreed to sell and deliver goods to the buyer.

2) Prices and Payment Guarantee

Prices are exclusive of any VAT or any equivalent local tax, which will be payable to ASL Ltd by the buyer in accordance with the law applicable from time to time against receipt of an appropriate invoice.

Prior to delivery ASL Ltd demand advance payment or a payment guarantee in a form required by ASL Ltd.

3) Ownership and Risk

The goods are at the risk of the buyer from the time of delivery.

Regardless of delivery, title to any goods supplied to the buyer shall remain in ASL Ltd and shall not pass to the buyer until ASL Ltd shall have received payment in full of all amounts due and owing from the buyer to ASL Ltd for the time being. Pending the passing of property, the buyer shall be bailee of the goods and must store them separately and mark them so that they may be readily identified as ASL Ltd’s property. The buyer may resell or process the goods as part of the normal conduct of its business, unless ASL Ltd has asked the buyer to return the goods.

For the purpose of recovery of the goods the buyer grants ASL Ltd an irrevocable Licence to enter on any premises where the goods are situated )or are reasonable thought to be situated) to repossess them and the buyer agrees to pay any cost of repossession.

4) Payment

Payment shall be made in full and in cleared funds within the period stated on invoice and in the currency stated in the Contract. Late payment shall entitle ASL Ltd to terminate the Contract in whole or in part.

The buyer may not for any reason suspend payment or make any deduction by way of set-off.

ASL Ltd reserve the right to charge interest on outstanding payments.

5) Duty of Care

The buyer shall at all times handle the supplied goods with reasonable care and in conformity with ASL Ltd’s oral or written instructions as to storage, use or maintenance of the goods, and shall perform no actions which might affect the quality or safety of the goods or the reputation of ASL Ltd.

6) Liability

ASL Ltd’s total liability for any claim however arising in connection with the performance of this Contract shall be limited to an amount equal to two times the amount invoiced for the goods in relation to which the claim arises, net of VAT or any equivalent sale tax.

ASL Ltd shall not be liable for any claim however arising for: (i) loss of profits, goodwill, product ion, business, anticipated savings and third party contracts; or (ii) for consequential or indirect loss.

The buyer shall indemnify ASL Ltd against all third party claims, losses, costs (including legal costs), penalties and damages brought against, suffered or incurred by ASL Ltd in relation to the goods arising directly or indirectly out of any acts or omissions of the buyer, its employees or agents.

7) Termination

ASL Ltd may terminate, without prejudice to accrued rights, all or part of the Contract (i) by 30 days written notice, or (ii) by written notice with immediate effect if the buyer is in arrears of any amount owed to ASL Ltd; or the buyer becomes bankrupt or insolvent, or the buyer is in good breach of contract and does not remedy such breach (if remediable) within 30 days of receiving notice of the breach.

8) Law and Jurisdiction

The contract shall be governed by Scottish Law.

Any dispute arising out of or in connection with the Contract shall be subject to the non-exclusive jurisdiction of the Scottish Court.
